As an independent contractor, signing a poorly worded Master Services Agreement (MSA) can bankrupt your business. Unlike employees, freelancers are legally liable for the code they write and the designs they produce.
Common Freelance Contract Traps
- Mutual Indemnification: If a client gets sued because of a bug in your code, an indemnity clause forces you to pay their legal fees. Always limit liability to the total amount paid under the contract.
- Overbroad Non-Competes: You should be able to work for anyone. A non-compete that restricts you from working in an entire industry (e.g., “Software Development") is a massive red flag.
- Work Made for Hire (IP Rights): Ensure you retain ownership of your “Background IP"—the tools, libraries, and frameworks you created before signing the contract.
